Terms of Sale
In the following document, AEC refers to the AOS Electronics Co.
AEC warrants this product, under normal use, to be free of defects in materials and workmanship for a period of 90 (Ninety) days from date of purchase, so long as: the product is owned by the original purchaser, with proof of purchase in form of original proof of purchase (invoice). This warranty explicitly excludes power supplies and included cables and battery holders, which may become defective as a result of normal wear and tear.
In the event that AEC receives, from an original purchaser and within the warranty coverage period, written notice of defects in materials of workmanship, AEC will either replace the product, repair the product, or refund the purchase price at its option. In the event repair is required, shipment to AEC shall be borne by the purchaser, while the return shipping will be covered by AEC. It is the responsibility of purchaser to have the product delivered to the AEC in good condition; AEC will not be responsible for lost, stolen or damaged products as the result of shipping to AEC.
In the event that AEC determines that the product requires repair because of user misuse or regular wear, it will assess a fair repair or replacement fee. The customer will have the option to pay this fee and have the unit repaired and returned, or not pay this fee and have the unit returned un-repaired.
AEC reserves the right to change the prices, fees and charges regarding the goods and services available through the Web Site at any time and from time to time without any notice or liability to you or any other person. Email notification from AEC is required before you are allowed to place an order as to minimize the probability that goods or services advertised on the Web Site are not available. However AEC cannot guarantee that goods or services advertised on the Web Site will be available when ordered or thereafter. AEC also reserves the right at any time to reject, correct, cancel or terminate any order. If you order goods or services for which the price was incorrectly displayed, AEC will provide you with an opportunity to cancel your order. If you order goods or services that are not available, AEC will notify you by email. AEC reserves the right to limit quantities sold.
The advertisements on the Web Site are invitations for purchase orders, and are not offers to sell. Your properly completed and delivered order form constitutes your offer to purchase the goods or services referenced in your order. Your order shall be deemed to have been accepted only if and when AEC sends an order acceptance and shipping notice email to your email address. If you wish to cancel an order, you may request a cancellation by sending an email to ifkovic@shaw.ca. As AEC may not receive and process your cancellation request before it accepts and processes your order, your cancellation request may not be effective.
While best effort is utilized in order to provide accurate information, AEC does not accept any liability for your use of the Web Site. For that reason, the following provisions apply to your use of the Web Site:
The Web Site is provided on an “as is” and “as available” basis, and for convenience and informational purposes only. Also, the Web Site is provided without any representations, warranties or conditions of any kind, whether express or implied, and including without limitation implied warranties or merchantability, fitness for a particular purpose, performance or durability, all of which are hereby disclaimed by AEC to the fullest extent permitted by law. Without limitation of the generality of previous statement, AEC makes no representation, warranty or condition that:
- The use of the Web Site will not infringe the rights (including intellectual property rights) of any person or company;
- The information available on or through the web site will be accurate, complete, sequential or timely.
In no event will AEC’s total liability to you or any other person for any claims, proceedings, liabilities, obligations, damages, losses, and costs, whether in contract, tort or under any other theory of law or equity, and regardless of any negligence or other fault or wrongdoing by AEC or any person for whom AEC is responsible, and notwithstanding that AEC may have been advised of the possibility of such loss or damages being incurred by you or any other person, exceed the purchase price paid for the product. AEC specifically disclaims all other warranties, expressed or implied. Specifically, AEC makes no warranty that the product is fit for any particular purpose.
YOU HEREBY RELEASE, REMISE AND FOREVER DISCHARGE AEC AND ALL OF ITS RESPECTIVE AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, INFORMATION PROVIDERS, SERVICE PROVIDERS, SUPPLIERS, LICENSORS AND LICENSEES, AND ALL OTHER RELATED, ASSOCIATED, OR CONNECTED PERSONS FROM ANY AND ALL MANNER OF RIGHTS, CLAIMS, COMPLAINTS, DEMANDS, CAUSES OF ACTION, PROCEEDINGS, LIABILITIES, OBLIGATIONS, LEGAL FEES, COSTS, AND DISBURSEMENTS OF ANY NATURE AND KIND WHATSOEVER AND HOWSOEVER ARISING, WHETHER KNOWN OR UNKNOWN, WHICH NOW OR HEREAFTER EXIST, WHICH ARISE FROM, RELATE TO, OR ARE CONNECTED WITH YOUR USE OF THE PRODUCTS, SERVICES AND THE WEB SITE.
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS AEC AND ALL OF ITS RESPECTIVE AGENTS, DIRECTORS, OFFICERS, EMPLOYEES, INFORMATION PROVIDERS, SERVICE PROVIDERS, SUPPLIERS, LICENSORS AND LICENSEES, AND ALL OTHER RELATED, ASSOCIATED, OR CONNECTED PERSONS (COLLECTIVELY, THE "INDEMNIFIED PARTIES") FROM AND AGAINST ANY AND ALL
LIABILITIES, EXPENSES AND COSTS, INCLUDING WITHOUT LIMITATION REASONABLE LEGAL FEES AND EXPENSES, INCURRED BY THE INDEMNIFIED PARTIES IN CONNECTION WITH ANY CLAIM OR DEMAND ARISING OUT OF, RELATED TO, OR CONNECTED WITH YOUR USE OF PRODUCTS, SERVICES AND THE WEB SITE OR YOUR BREACH OF THIS AGREEMENT. YOU WILL ASSIST AND CO-OPERATE AS FULLY AS REASONABLY REQUIRED BY THE INDEMNIFIED PARTIES IN THE DEFENCE OF ANY SUCH CLAIM OR DEMAND.
ADVICE AND INFORMATION PROVIDED BY AEC OR ITS REPRESENTATIVES, WHETHER ORAL OR WRITTEN, WILL NOT CREATE ANY REPRESENTATION, WARRANTY OR CONDITION OR VARY OR AMEND THIS AGREEMENT, INCLUDING THE ABOVE DISCLAIMER, LIABILITY EXCLUSION, LIABILITY LIMITATION, RELEASE AND INDEMNITY PROVISIONS, AND YOU MAY NOT RELY UPON ANY SUCH ADVICE OR INFORMATION.
The exclusion of certain warranties and the limitation of certain liabilities is prohibited by legislation in some jurisdictions. Such legislative limitations may apply to you.
The disclaimer, liability limitation, release, and indemnity provisions in this Agreement survive indefinitely after the termination of this Agreement.
This warranty shall be construed, interpreted, and governed solely by the laws of the British Columbia, Canada and applicable federal laws of Canada, excluding any rules of private international law or the conflict of laws which would lead to the application of any other laws.
Any dispute between AEC and you or any other person arising from, connected with or relating to the Web Site, this Agreement or any related matters must be resolved before the Courts of British Columbia sitting in the City of Vancouver, British Columbia, Canada, and you hereby irrevocably submit and attorn to the original and exclusive jurisdiction of those Courts in respect of any such dispute or matter.
Any rights not expressly granted by this Agreement are reserved to AEC.
